Welcome to the Merchants Investment Partners, LLC (“MIP”) website (the “Site”). By using the Site, you agree to be bound by the following terms and all applicable laws and regulations (the “User Agreement”). You are responsible for your compliance with the User Agreement. You agree to indemnify MIP, together with its affiliates and employees (collectively, “Merchants”) against any and all claims by third parties arising out of your use of the Site in violation of the User Agreement. Limited License

You should assume that everything that you read or see on the Site is copyrighted or otherwise protected and owned by MIP or a third party who licensed to MIP the right to use such material. MIP grants you permission to print individual pages from the Site, for your own personal, noncommercial use in learning about, evaluating or obtaining services or products from MIP. Miscellaneous; Governing Law; Consent to Jurisdiction

No waiver by MIP of any right under or term or provision of this User Agreement will be deemed a waiver of any other right, term, or provision of this User Agreement at that time or a waiver of that or any other right, term, or provision of this User Agreement at any other time. MIP may assign this User Agreement in whole or in part at any time without your consent. You may neither assign this User Agreement nor delegate any of your obligations under this User Agreement. Any portion of this User Agreement declared invalid or unenforceable is severable and shall not affect the validity or enforceability of the remainder of the User Agreement.

This User Agreement and all matters arising out of or relating to this User Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflicts of law principles. You agree that any dispute or action at law or in equity arising out of or relating to these terms or your use of the Site shall be commenced only in the State of New York or Federal Courts located in the State of New York, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of any such dispute or action.

This User Agreement represents the entire agreement between you and MIP relating to the Site. MIP may update, modify, or terminate this User Agreement with or without cause at any time.
